Please read the terms and conditions carefully to understand what you are purchasing and what you can expect from us.

These Terms of Service reflect the way we work and the laws by which we operate. By using our platform, you agree to abide by these terms and conditions..

Service Provider: Alinna’s services are provided by and contracted with Programaro S.A, a company operating under Colombian legislation..

Minimum Age Requirements.

If you are not of the minimum age to manage your own account, you must have permission from your parent, guardian, or legal guardian to purchase a Plan. Ask your parent, guardian, or legal guardian to read these terms with you.

If you are a parent, guardian, or legal guardian and you allow your child to use Alinna, these terms apply to you, and you are responsible for the activities they engage in on the services.

What You Can Expect from Us.

We offer Alinna’s services subject to these terms, including:

  • Website creation platform.
  • Content creation.
  • Brand design.
  • Digital marketing strategy and implementation.

          Third-Party Software:

  • Hosting.
  • Email automation.
  • CRM.
  • Billing software.

Our services are designed to work together so that you don’t have to hire other companies. For example, we provide you with your website, email service, and billing software.

Improving Alinna’s Services.

We are constantly developing new technologies and features to improve our services. As part of this ongoing improvement, we may add or remove features and functions, increase or decrease limits on our services, and start offering new services or discontinue old ones, provided that the one-year membership has already been completed.

If we make any substantial changes that negatively impact your use of our services or if we stop offering a service, we will notify you with reasonable notice and give you the opportunity to export your information in a timely manner, except in urgent situations, such as preventing abuse, complying with legal obligations, or resolving security and operational issues.

What We Expect from You.

Comply with these terms and any additional specific terms of the services you use.

We also provide various policies, help centers, and other resources to provide you with answers to common questions and to let you know what to expect when using our services. These resources include our Privacy Policy and privacy policies.

Although we authorize you to use our services, we retain intellectual property rights over them.

Respect Others

We want to maintain a respectful environment for everyone, so you must follow these basic conduct rules:

  • Comply with applicable laws, including export control, sanctions, and trafficking laws.
  • Respect the rights of others, including privacy and intellectual property rights.
  • Do not abuse or harm others or yourself (or encourage or coerce such behavior), for example, through deception, fraud, defamation, harassment, intimidation, or stalking.
  • Do not misuse or damage the services, disrupt them, or interfere with them.

Permission to Use Your Content

Some of our services are designed to allow you to upload, transfer, store, send, receive, or share your content. If you decide to upload or share content, make sure you have the necessary rights to do so and that the content does not violate the law.

License

Your content remains yours, which means you will continue to own any intellectual property rights you have in it. This includes:

  1. Images
  2. Brand
  3. Domain (Renewable annually)
  4. Content
  5. Databases

Rights

This license allows Alinna to do the following:

  • Host, reproduce, distribute, communicate, and use your content; for example, to store it on our systems and allow you to access it from anywhere.

Purposes

Alinna will use the rights granted by this license solely for the following purposes:

  • Manage and improve the services, that is, to allow the services to function normally and create new features. This includes using automated systems and algorithms to analyze your content.
    • Check for spam, malicious software, or illegal content.
    • Recognize patterns in data, such as determining when a hosting upgrade should be suggested if you have high traffic, or notifying you when your domain is about to expire.
    • Provide you with personalized services, such as recommendations, personalized ads.
    • Use publicly shared content to promote examples, to promote Alinna, we might display your website, an email, or show a screenshot.
    • Develop new Alinna technologies and services in accordance with these terms.

Duration

Your license is valid for 1 year, starting from the first payment for any of our plans.

If you renew your license with Alinna, you can either pay the annual fee again or pay on a monthly basis for the services that incur a cost:

  1. Hosting.
  2. Email account.
  3. Marketing automation.
  4. Automation software.
  5. Domain (annual).

If you remove any content covered by your license from our services, our systems will make your Alinna no longer publicly available within a reasonable time frame. If you decide to migrate to another provider, the corresponding transfer will be made, or the publication of the website will be canceled, leaving the domain free.

Using Alinna Web Services

Your Alinna Web Account

If you meet the minimum age requirements, you can create an account on Alinna Web. To use the services, it is mandatory to have a Alinna Web account.

You are responsible for what you do with your Panela Web account, including taking necessary measures to keep your account secure. We recommend that you change your password periodically, do not share it with anyone, and do not write it in a public place.

Using Alinna Web Services on Behalf of an Organization.

Many organizations, such as businesses, nonprofit organizations, and educational institutions, use our services. To use our services on behalf of an organization:

  • An authorized representative of the organization must accept these terms. Your organization’s administrator may provide you with access credentials.
  • The administrator may also require you to comply with additional rules. 

Communications Related to a Service

To provide you with our services, we may sometimes send you service announcements and other types of information.

If you choose to provide us with feedback, such as suggestions to improve our services, we may consider them without any obligation to you.

Software in Alinna Web Services

Some plans include downloadable software. We authorize you to use such software as part of the services.

The license we grant you is:

  • Worldwide, meaning it is valid worldwide.
  • Non-exclusive, meaning we can license the software to third parties.
  • Royalty-free, meaning you do not have to pay a fee for this license unless you exceed the limits set for:
    • Database
    • Number of emails sent per month or year
    • Server storage capacity
    • Personal, meaning it is not transferable to anyone else.
    • Non-transferable, meaning you are prohibited from transferring it to third parties.

Some of our services include software provided under an open-source license that we make available to you. These licenses may include provisions that explicitly override parts of these terms, so make sure to carefully read those licenses. Each service has its own terms and conditions, including:

  • Email with Zoho Mail.
  • CRM with Zoho CRM.
  • Billing software with Zeller ERP.
  • Automation software with Zeller Pot.

You may not copy, modify, distribute, sell, or rent any part of our services or software. You may not engage in reverse engineering or attempt to extract the source code of any of our products without our written consent, unless permitted by applicable law.

If a service requires or includes downloadable software, that software may sometimes be automatically updated on your device when new versions or features become available. Some services allow you to configure automatic update settings.

In Case of Problems or Discrepancies

According to the law, you have the right to: (1) a certain quality of service; and (2) have access to means of resolving issues that may arise. These terms do not limit or waive any of those rights. For example, if you are a consumer, you enjoy all the legal rights granted by the consumer protection laws of your country.

Warranty

We provide our services with a reasonable level of skill and care. If we fail to maintain the level of quality described in this warranty, please notify us, and we will work with you to try to resolve the issue.

Disclaimer of Warranties

The only warranties we provide regarding our services (including the content of the services, their specific features, reliability, availability, or ability to meet your needs) are as follows: (1) those described in the Warranty section; (2) those indicated in the specific additional terms of the services; or (3) those provided by applicable law. We do not provide any other warranties concerning our services.

Unless required by law, we do not provide implied warranties, such as warranties of merchantability, fitness for a particular purpose, or non-infringement.

Responsibilities

For all users

These terms only limit our responsibilities to the extent permitted by applicable law. Specifically, these terms do not limit Panela Web’s liability in cases of death or personal injury, fraud, false and fraudulent information, gross negligence, or willful misconduct.

Except for the rights and responsibilities described in this section (In Case of Problems or Discrepancies), Panela Web will not be liable for any other losses unless it has breached these  terms or the specific additional terms of its services..

For business users and organizations only

If you are a business user or an organization, to the extent permitted by applicable law:

  • You will indemnify Alinna Web and its officers, directors, employees, and contractors for third-party legal proceedings (including actions taken by government authorities) that may arise or are related to your unlawful use of the services or the infringement of these  terms or the specific additional terms of the services. This indemnification covers any liability or expense arising from claims, losses, damages, judgments, fines, litigation costs, and legal fees.
  • Alinna Web will not be liable for:
    • Lost profits, revenues, business opportunities, goodwill, or anticipated savings.
    • Indirect or consequential losses.
    • Punitive damages.
  • The total liability of Panela Web arising out of or in connection with these terms is limited to the greater of: (1) 500 USD or (2) 125% of the fees you have paid to use the relevant services during the 12 months preceding the breach.

If you are legally exempt from certain responsibilities, including indemnification, those responsibilities do not apply to you. For example, the United Nations enjoys immunity from certain legal obligations, and these terms do not override that immunity.

Measures we take in case of problems

Before taking the measures outlined below, we will notify you in advance whenever reasonably possible, explain the reasons for our actions, and give you the opportunity to resolve the issue unless we have sufficient reasons to believe that doing so could:

  • Cause harm or incur liabilities to a user, a third party, or AlinnaWeb.
  • Violate the law or a court order.
  • Endanger an investigation.
  • Endanger the operation, integrity, or security of our services.

Removing your content

If we have sufficient reason to believe that any of your content (1) violates these terms, the policies, or the specific additional terms of the services; (2) infringes applicable law; or (3) could harm our users, third parties, or Panela Web, we reserve the right to remove part or all of your website in accordance with applicable law. Examples include child pornography, content that facilitates human trafficking or harassment, and content that infringes another individual’s intellectual property rights.

Suspending or canceling your access to Panela Web services

Alinna Web reserves the right to suspend or cancel your access to the services or remove your website in any of the following cases:

  • You substantially or repeatedly breach these terms and conditions.
  • If we are required to do so to comply with a legal requirement or a court order.
  • If we have sufficient reason to believe that your conduct (e.g., hacking, impersonation, harassment, spamming, deception, or copying content you do not own) causes harm or incurs liabilities to a user, a third party, or Panela Web.

If you believe that your Panela Web account has been suspended or canceled in error, you can appeal the decision by sending an email to [email protected]

Naturally, you can stop using our services whenever you want. If you do, we would appreciate it if you let us know why so that we can continue to improve the services.

Resolving disputes, applicable law, and courts

Any dispute arising from or related to these terms, the specific additional terms of the services, or other related services shall be governed by the laws of the state of Colombia, regardless of conflict of laws principles. Both Panela Web and you agree to submit to the exclusive jurisdiction of the Colombian courts to resolve these disputes.

To the extent that applicable local laws prohibit resolving certain disputes in a Colombian court, you may bring them before your local courts. Furthermore, if applicable local laws prohibit your local courts from applying California law to resolve disputes, then such disputes shall be governed by the applicable local laws of your country, state, or other place of residence.

About These Terms

The law grants you certain rights that cannot be limited by a contract like these terms of service. The purpose of these terms is not to restrict these rights in any way.

These terms describe the relationship between you and Panela Web. They do not create any legal rights for other individuals or organizations, even if they benefit from this relationship under these terms.

We want these terms to be easy to understand, so we have used examples about our services. However, it is possible that some of the services we mention may not be available in your country.

In the event of a conflict between these terms and the specific additional terms of a service, the latter shall prevail.

If any specific term is found to be invalid or unenforceable, the remaining terms will not be affected.

If you fail to comply with these terms or the specific additional terms of the services and we do not take immediate action, it does not mean that we waive any rights we may have, such as taking action in the future.

Alinna Web may update these terms and the specific additional terms of its services: (1) to reflect changes in its services or business practices, for example, when adding services, features, technologies, prices, or benefits (or removing obsolete ones); (2) for legal, regulatory, or security reasons; or (3) to prevent abuse or harm.

If we make substantial changes to these terms or the specific additional terms of the services, we will notify you in advance and give you the opportunity to review the changes, except (1) when we launch a new service or feature, or (2) in urgent situations, such as preventing ongoing abuse or responding to legal requirements. If you do not agree to the terms, you should remove your content and stop using the corresponding services. You can also terminate your relationship with us at any time by canceling your account on Alinna Web.

Specific additional terms of a service

WHAT YOU WILL RECEIVE

  1. Consulting Hours: You will receive 7 hours of dedicated work from a digital marketing expert who will assist you in completing your website.
  2. Marketing Automation: You will be able to send up to 400 monthly emails and automate up to 3 scenarios. If you need more, you will need to upgrade your plan.
  3. Hosting: Your website will have storage capacity of up to 10 gigabytes and 10 gigabytes of monthly transfer. If you need more, you will need to upgrade your plan.
  4. Visual Builder: Your website will be developed using WordPress, the most widely used system for website development, and we will use the visual builder: DIVI or ELEMENTOR in its Pro Version.
  5. Customizable Templates: Once you have chosen and installed the template, our design team will create banners and graphics to give it a unique look. We will develop a maximum of 7 pieces, including banners and sliders, and you will have up to 5 internal pages.
  6. CRM: We will connect your forms to ZOHOCRM in its Free version, with a license for up to 3 users, so you can manage everything that happens with your clients.
  7. Chatbot: We will install and configure an automated chat on your website to answer basic questions from your potential clients while you are away. Maximum of 20 questions.
  8. Custom Domain: You will receive a «.com» or «.com.co» domain, which needs to be renewed annually.
  9. SSL Security Certificate: You will receive an SSL certificate to ensure your website’s security.
  10. Google Analytics: We will install the Google Analytics module on your website so you can measure the type and number of visitors to your page.
  11. Email Accounts: We will connect your emails to the ZOHOMAIL platform, in its Free version, which provides a 5 GB mailbox. You will receive 1 email account, but you can request up to 3 more at no cost. However, starting from 5 email accounts, there will be a charge for each mailbox, including the initial 4. The cost will depend on the plan chosen in ZOHOMAIL.

 

WHAT YOU WILL NOT RECEIVE

  1. Logo Designs or Corporate Image: They are not included. You should always provide your corporate image manual, logos, and specific photographs you desire to the design team.
  2. Undescribed Functions: Any additional functions not described in the «WHAT YOU WILL RECEIVE» section are not included.

WHAT YOU WILL RECEIVE

  14. Cart Recovery: We will implement and automate the cart recovery strategy to increase sales by targeting customers who have abandoned the checkout process.
  15. Transactional Emails: We will configure up to 5 transactional emails to be sent automatically (e.g., Order Processing, Order Completed, Return Processing, Customer Invoice).
  16. Billing Software: We will install and integrate the ZELLERP billing software with the Starup plan, which will allow you to issue invoices and control inventory.
  17. Premium Template: We will develop your website using a premium template that will make your website stand out. We will customize your website and work with a proposal that you approve first.

 

WHAT YOU WILL NOT RECEIVE

  1. Logo Designs or Corporate Image: They are not included. You should always provide your corporate image manual, logos, and specific photographs you desire to the design team.
  2. Undescribed Functions: Any additional functions not described in the «WHAT YOU WILL RECEIVE» section are not included.
